If encumbrances are the boogeyman than one could say that it is a benefit to interdigital to not have resolution to the arbitration while they sell and reduce patents to the point where the portfolio meets the ideal scope and scale of an identified purchaser giving the acquirer the flexibility with this particular arbitration. Remember, management said that an issue in the SA was that consortiums were difficult to form. Therefore by selling those pools to the parties that wanted them in separate deals effectively does what a consortium is meant to do.

The intel deal will not close until Q3. Q3 begins in a week, next Sunday July 1st. Arbitration was already scheduled one week after the close of the intel sale. Arbitration if not already completed will begin this week. The arbitration decision is likely expected sometime in Q3. The same time when the intel deal is expected to close. When management was asked a few days ago about the arbitration they were coy and gave no comment. If in fact intel is apart of the arbitration case, the fact that intel was willing to purchase the patents let alone continue to pay the rate (although revenue was defered) should be a positive that there is something more to the sale if not two separate deals and negotiations.
