I cannot tell you the playbook of Evercore. All I can point you to is the statement by IDCC that it would wait for a report from Evercore regarding strategic alternatives. You have to view it as being similar to a real estate transaction. Evercore is the broker and IDCC is the homeowner. The potential acquirers are more than likely being represented by brokers experienced in the M&A business. The two sets of brokers keep the sellers and buyers away from each other to prevent later claims of misrepresntation or the old "I would never have closed if x had not said ......". It also prevents loose tongues and insider leaks. I suspect that IDCC has given Evercore some guidance as to a minimum threshold, but they are leaving the marketing up to their broker. Evercore will report to the BOD the best offers and terms ie. all cash, all shares and /or part cash/part shares. I do not think any potential acquirer will be able to preempt the Evercore process.
